1. What WerOrg is
WerOrg is software-as-a-service operated by WerOrg, Inc. (“WerOrg”, “we”, “us”). It lets independent mobile-phone resellers (“Operators”) launch a branded buyback website that accepts device offers from end users (“Sellers”) and computes prices from a wholesale catalog we maintain. Operators pay a monthly subscription; Sellers pay nothing.
2. Account & eligibility
To create an Operator account you must be at least 18 and authorized to act on behalf of a registered business that lawfully buys used electronics in its jurisdiction. You’re responsible for the security of your login credentials and for everything that happens under your account.
We use magic-link sign-in (no passwords). You may change the email on your account from the dashboard at any time.
3. Subscription, billing, cancellation
- Plans are billed monthly via Stripe. The first 14 days are free; your card is collected at signup but not charged until day 15.
- You can change tier or cancel any time from your dashboard. Cancellation takes effect at the end of the current billing period; we do not pro-rate partial months.
- We may change pricing with 30 days’ notice. Existing subscribers keep their current price until they change tier.
- Plans include a monthly Seller-lead cap. Going over the cap does not block new leads but may trigger a forced upgrade after 60 days of sustained overage.
4. Acceptable use
You may not use WerOrg to:
- Knowingly buy stolen or fraudulent devices, or to obstruct lawful investigations into them.
- Mislead Sellers about price, payout method, or your business identity.
- Send unsolicited bulk email or SMS to Sellers from outside the order flow.
- Reverse-engineer the platform, scrape the catalog, or resell access.
- Operate in jurisdictions where buyback is regulated and you are unlicensed.
5. Operator obligations
- You are the controller of Seller data submitted on your storefront. WerOrg is your processor — see the DPA.
- You are responsible for posting your own privacy policy and complying with consumer protection, tax, and electronics-buyback laws in your jurisdiction.
- You must pay Sellers the offered price for accepted devices that match the condition declared, using the payout method the Seller selected. WerOrg is not party to that transaction.
- You agree to honor accepted quotes for the 48-hour validity window unless the device fails the stolen-IMEI check or arrives in materially worse condition than declared.
6. WerOrg’s obligations
- Maintain the platform with commercially reasonable uptime (target: 99.9%). Status at /status.
- Update the wholesale price catalog at least weekly.
- Encrypt IMEIs and payout details at rest and audit-log every reveal.
- Notify you within 72 hours of confirming any security incident affecting your data.
7. Intellectual property
The WerOrg platform, the “wer.org” name, the logo, and the curated price catalog are owned by WerOrg. You receive a non-exclusive, non-transferable license to use them while your subscription is active. Your branding, content, and Seller data are yours; we get a limited license to host and display them on your behalf.
8. Third-party services
The platform integrates Stripe (billing), Supabase (database/auth), DigitalOcean (hosting), Approximated (custom domains), Cloudflare (edge), Upstash (cache), Resend (email), EasyPost (shipping labels), and CheckMEND (stolen-IMEI check). Their availability and accuracy are their own; outages may degrade specific features.
9. Disclaimers & limitation of liability
The platform is provided “as is.” We don’t guarantee that wholesale prices reflect market conditions on any given day, that CheckMEND or carrier databases are exhaustive, or that EasyPost rates remain unchanged.
Our aggregate liability for any claim is capped at the greater of (a) fees you paid us in the 12 months preceding the claim, or (b) US$100. We’re not liable for lost profits, lost data, or consequential damages.
10. Termination
You can cancel any time from the dashboard. We may suspend or terminate your account for material breach of these terms, non-payment, or where required by law. On termination we delete your account data within 30 days, except records we’re legally required to retain for tax or audit purposes.
11. Changes to these terms
We’ll post material changes to this page and email you at least 14 days before they take effect. Continued use after the effective date counts as acceptance.
12. Governing law
These terms are governed by the laws of the State of Delaware, USA. Disputes go to the state and federal courts in Wilmington, Delaware.
